Global law firm seeks a Knowledge Management Attorney for its NYC office. Primary responsibilities include institutionalizing knowledge from cases and deals, managing precedent, and creating standard forms for the M&A/Private Equity group of the corporate department. Desired experience is 5+ years practicing in M&A/Private Equity at a top-tier law firm. Ideal candidate should have knowledge management experience. Salary is $140K-$160K depending on experience; hours are 9:30 a.m. – 5:30 p.m. with a flexible schedule available. Responsibilities include the following:
•Staying current on all developments in the law and intelligence from deals. Monitoring M&A transactions, case law, articles, PLC, PLI presentations, EDGAR filings, etc. for developments. Incorporating these changes and updates into standard forms and checklists.
•Managing precedent for the M&A/Private Equity group:
oWorking with designated partners, IT and marketing departments to manage electronic system for gathering and managing precedent;
oCreating and implementing document/precedent submission and retention policy for the group;
oWorking with deal team to gather and import precedent into electronic system;
oInterfacing with deal teams and marketing department to catalogue and categorize precedent and closing binders and subsequent amendments.
•Managing standard form documents for the group:
oWorking with designated partners and associates to create and maintain key standard form documents (e.g. Confidentiality Agreement, Stock Purchase Agreement, Merger Agreement, Asset Purchase Agreement, Issues Checklists, Public Company Acquisition Agreements, Stockholder Agreement, Registration Rights Agreement) that contain educational annotation, deal tips and are updated consistently for new case and deal knowledge;
oWorking with deal teams and research services to tailor forms for specific transactions.
