Broadwind Energy is seeking a Paralegal to join our team in Cicero, IL. This position will provide full and diversified paralegal and administrative support to the Associate General Counsel. The Paralegal must possess broad and comprehensive legal and administrative experience and skills. This position will have corporate (preferably public company) experience with organizational policies, procedures and practices.

In this position, will you will have the opportunity to:

Corporate Governance / Board of Directors Support: · Corporate Governance Support
· Create, maintain, change & terminate business entities, including foreign qualifications.
· Process various corporate filings; retrieval & investigation of corporate filings.
· Organize & maintain minute books.
· Draft resolutions & other corporate documents.
· Maintain officer/director lists for Company & its subsidiaries
· Maintain corporate organization datasheet including organizational chart & qualification matrix.
· Coordinate with tax, human resources & operations personnel re: qualifying entities in foreign jurisdictions as needed & file annual reports as required.
· Coordinate Annual Meeting of Stockholders with internal departments & outside vendors, including transfer agent, elections inspector, regulatory agencies & printer.
· Board of Directors (BOD) Support
· Prepare notices of meetings, agendas & meeting materials for BOD & committee meetings.
· Prepare draft minutes for BOD & committee meetings.
· Provide support to finance department re: BOD compensation program.
· Maintain corporate governance annual planner for BOD & its committees.
· Manage annual BOD/committee performance evaluation process.
· Manage BOD portal software & coordinate approval of materials before release to BOD.
· Prepare & distribute annual Directors & Officers Questionnaires.
· Maintain BOD orientation guide via BOD portal software.
Compliance Support: · Assist with development, review & revision of compliance policies & procedures including electronic discovery guidelines, document retention policy, litigation hold process, human resources (HR) policies, intellectual property guidelines, contracts policy, disaster management plans, environmental programs, insider trading, anti-trust & whistleblower procedures.
· Monitor, research & analyze external developments in compliance, including regulations, government investigations & industry best practices.
· Work with HR personnel to coordinate policy rollouts, training & other department initiatives.
· Work with external vendor & internal executive stakeholders to develop & implement new Code of Business Conduct & related training.
· Administer training materials & procedures for online employee training via Broadwind VIEWS Center.
Contracts Support: · Draft standard contracts & other documents.
· Correspond with outside vendors & internal team members concerning contracts.
· Interact with business units relating to status of contracts & contracts compliance.
· Maintain electronic & physical files of all corporate contracts.
· Create & maintain contract database.
Non-Disclosure & Confidentiality Agreement (NDA) Process: · Manage NDA process for Company & its subsidiaries
· Draft standard NDAs based on Company guidelines & negotiate any changes to form; review third party forms.
· Manage execution & delivery process for NDAs.
· Maintain NDA database via SharePoint.
· Advise internal departments concerning provisions of NDAs & create reports as requested.
Regulatory Support: · Manage & maintain electronic & physical securities files.
· Maintain Rule 144 binder.
· Maintain EDGAR passwords of Section 16 officers & BOD.
· Manage signature process & original signatures for SEC current reports.
· Manage process for Section 16 filings & support for other public filings.
· Interact with various internal departments & outside counsel on Section 16 filings.
· Interact with transfer agent concerning ongoing securities matters.
· Respond to independent auditors’ quarterly audit requests, including corporate minutes & materials, contracts, regulatory issues, financial instruments & confirmation letters.
Intellectual Property (IP) Support: · Maintain trademark, patent & copyright physical & electronic files.
· Manage trademark & copyright process for Company & its subsidiaries.
· Review corporate website & marketing materials for compliance with IP portfolio & photo releases/licenses.
· Draft, review & approve photo releases.
· Conduct preliminary trademark searches to identify potential knock-out references.
· File pre-registration & post-registration papers & instruct outside counsel & vendors regarding trademark maintenance.
· Serve as main point of contact with external counsel & internal departments on status of IP.
Litigation Support: · Maintain litigation physical & electronic files.
· Respond to & gather pertinent documents & information from internal resources relating to ongoing litigation for discovery purposes.
· Draft legal hold letters & update Legal Dept. intranet page.
· Manage e-discovery process with internal departments & outside counsel.
· Interact with internal departments & external counsel on discovery issues & litigation status.
· Research upcoming legislation & hearings as requested.
Mergers, Acquisitions & Divestitures: · Manage & maintain electronic & physical transaction documents & files.
· Create, populate, manage & maintain physical & electronic data rooms.
· Respond to due diligence document requests in connection with closings.
· Draft resolutions & other corporate documents & certificates in connection with closings.
· Review UCC statements & interact with internal departments concerning same.
· Manage signature process for closings & interact with outside counsel re: exchange of signatures & coordination of closing books.
Stock Plan Administration Support: · Manage & maintain physical & electronic stock plan administration files.
· Draft, revise & finalize restricted stock unit award agreements, incentive option agreements & other equity agreements for employees & directors as approved by BOD.
· Distribute stock equity agreements to employees & directors.
· Manage signature process for equity incentive agreements.
· Distribute annual meeting materials to employees & directors who participate in EIP program.
Investigation, Research & Analysis: · Conduct research using Internet, EDGAR, Lexis, Westlaw; conduct general legal & factual research as requested.
· Review & analyze search reports relating to liens, judgments & taxes; prepare summary charts.
· Prepare, review & effect IRS, SEC, UCC & other government filings.
Other Responsibilities: · Safeguard & keep confidential all information, observations or viewpoints regarding Company business matters.
· Maintain Legal Department page of Company intranet.
· Handle other duties, projects & responsibilities as required.
Education & Experience: · Bachelor's degree; at least five years related legal experience; and/or equivalent combination of education & experience.
· Should be able to type 40 words per minute (wpm).
· Must be able to handle multiple projects simultaneously & work in a fast-paced environment.
· Advanced MS Office (MS Word, Excel, PowerPoint, SharePoint & Outlook) skills required.
