The Corporate Secretary and Governance Group ensures strategic and effective operation of the company’s corporate governance processes and ethical compliance with the company’s policies.
Key Roles & Responsibilities Other duties may be assigned. Directly or through others, the incumbent will:
Manage governance activities for approximately 85+ active subsidiaries.
Prepare and disseminate various state and department of revenue documents required for maintaining the appropriate standing of companies in the appropriate jurisdictions; coordinate with outside service providers regarding filings.
Research and prepare documents necessary for the creation, qualification, dissolution, merger and withdrawal of EFH subsidiaries, both domestically and internationally; and upon completion, update database accordingly.
Play a leading role in preparation of annual board and shareholder actions by subsidiary entities relating to election of directors/managers and officers, appointment of auditors and other required actions; and upon completion, update hCue database accordingly.
Prepare resolutions and unanimous written consents for EFH and subsidiary boards and committees.
Assist with preparations for quarterly EFH board and committee meetings including review of pre-read materials, compiling documents and building board books, and other tasks as required.
Maintain directors/managers and officers list.
Research and analyze various regulations relating to corporate secretarial and governance matters.
Interact with other departments and EFH companies on a continuing basis.
Manage UCC filings under existing leases and credit facilities, including tracking due dates of continuations and related filings and coordination with Treasury group concerning document maintenance.
Play leading role in providing information to the Risk Management group in connection with insurance application renewals.
Play leading role in maintaining hCue data base including monitoring and improving as needed the quality of information stored in the database
Play a leading role in maintaining entity information on the Corporate Secretary group’s shared drive.
Manage process of cancelling foreign registrations of active and inactive entities, including researching statutes, determining appropriate forms, processes and filing fees, preparing and arranging the filing of documentation, and, if necessary, obtaining tax clearance or clearance from employment commissions.
Provide other support to the Legal and Corporate Secretary groups as needed.
Education, Experience, & Skill Requirements
College degree or paralegal certificate required.
5+ years experience in corporate secretary office, corporate governance or legal field.
Must be proficient in all aspects of Microsoft Office (Word, Excel and Power Point), Adobe Acrobat. Experience in hCue and OrgPlus a plus.
Proven organizational skills, as well as flexibility, adaptability to complete multi-tasks within designated time frames and adjust priorities in a fast paced environment as required.
Demonstrated skill in utilizing internet resources and/or legal software or databases to research legal and business issues.
Strong interpersonal, teaming and communication skills, including diplomacy and flexibility, and the ability to interface effectively with personnel at many different levels throughout the company.
Enthusiasm and self-starter qualities enabling him or her to manage responsibilities with an appropriate sense of urgency; the ability to function effectively and efficiently in a fast-paced and dynamic environment.
