This will be the fourth attorney in the Legal Department, reporting to the General Counsel. The position†s first priority will be acting as primary legal department contact for matters related to the company's operations in Mexico and Brazil. Within this area, responsibilities would include (i) handling corporate governance matters for all of the Mexico and Brazil entities, (ii) drafting and refining contracts at both the local and inter-company level, (iii) working with local counsel to negotiate and complete store leases, (iv) managing the relationship with minority shareholders where applicable, (v) maintaining the relationships with various local counsel, and (vi) continually acting as a point of contact for the local and regional Sephora teams in Latin America. At the outset, this position will take an active role in working on a share repurchase agreement related to one of the Brazilian entities. When not working on Latin America issues, responsibilities would include: (i) reviewing commercial contracts of all types (various service providers, independent contractors, marketing agreements, etc.), (ii) counseling and advising internal clients on transactional and business matters, and (iii) working on miscellaneous issues as they arise, such as corporate compliance, litigation and intellectual property issues.
