Job Title: Chief Legal Officer; Partner

Company: Haichang Biotech and WhiteOak Group

Location: Multiple Locations (U.S., Hong Kong, Mainland China)

We are seeking an experienced and knowledgeable professional with a blend of interdisciplinary expertise in investment, scientific, and legal domains to join our core team at Haichang Biotech and the WhiteOak Group. This role calls for an individual who bridges multiple fields and demonstrates capabilities in leading funding and investment activities, navigating complex scientific and regulatory landscapes in medical industry, and overseeing legal functions in a dynamic biopharma setting. The successful candidate will exhibit strong industry knowledge coupled with strategic thinking and the ability to work cross-functionally. This individual will play a role in managing our day-to-day business operations and will report directly to the CEO and the Board.


Investment – Capital Markets and Transaction:

· Spearhead the development and execution of capital raising strategies, which may include securing venture capital, managing private and public offerings, and fostering strategic partnerships.

· Represent the company as the liaison for key investor relations, maintaining and expanding relationships with investors, investment banks, law firms, and other financial institutional stakeholders.

· Manage and grow our Hong Kong office, coordinating with global and local teams—all while aligning operations with the Company’s overall strategy.

Scientific – Clinical, Regulatory, and Consulting:

· Work closely with Chief Medical Officer (CMO) to strategically design and execute our U.S. clinical trials, facilitating smooth execution of trials and compliance with FDA policy to meet regulatory milestones.

· Strategize and explore the possibilities of using a wide range of clinical evidence, including real-world evidence, to bolster our case for regulatory approval.

· Act as the Company’s representative in discussions and negotiations with U.S. agencies, including the FDA. This includes explaining our research and products, responding to any concerns, and advocating for our interests.

· Drive the expansion of our consulting services into the medical device sector, providing leadership and guidance as a partner to the WhiteOak Group. This includes identifying opportunities for growth and establishing partnerships within the industry.

Legal – General Counsel:

· Take charge of the legal department, providing strategic oversight to legal matters, including regulatory, compliance, risk management, contract negotiation, and corporate governance.

· Handle a diverse range of business-related legal matters, providing advice on potential benefits and risks from both legal and business perspectives.

· Assist with the preparation and review of key legal documents, including contracts, agreements, and corporate documents, to ensure the Company’s best interests are represented.

· Facilitate the growth of our U.S. in-house legal team when needed, overseeing recruitment, training, and development of the team to ensure high-quality in-house legal support is available to the Company.


A strategic visionary with a holistic understanding of biopharma business operations, the ideal candidate will be adept at integrating investment, scientific, and legal functions to drive Company growth. The ideal candidate for this role should possess the following:

· A degree in medicine or pharmacy supplemented by a deep understanding of the biopharma industry is required.

· A Juris Doctor (J.D.) degree from a top-tier U.S. law school, coupled with U.S. Bar admission and good standing, preferably with the D.C. Bar.

· An extensive track record of working in scientific roles within the U.S. FDA, with a particular emphasis on medical devices. Policy-making experience within these areas is preferred.

· Professional experience at top U.S. law firms, demonstrating a comprehensive understanding of legal aspects pertaining to business operations in the biotech industry.

· Fluency in both English and Mandarin, enabling effective communication across our multinational operations.

· Flexibility for international work and travel, with the ability to effectively operate across our offices in Hong Kong, mainland China, and the U.S.

· A demonstrated ability to communicate effectively, present at international conferences, and advocate for Company interests before diverse audiences in the U.S., Greater China, and Europe.

· Proven knowledge with diverse funding processes, including private and public offerings. A strategic thinker who can identify, evaluate, and seize funding opportunities.
