Responsible to manage the Contract Life Management (CLM) system, the vendor contract process and compliance of the contract policy. Must be knowledgeable in all aspects of the CLM to identify process improvement opportunities within the organization and develop solutions through effective project management techniques. Responsibilities include contract review and analysis, contract monitoring and reporting, contract negotiation assistance and administration, compliance investigation and resolution, communication and training, and risk management and mitigation. Must be able to set up and present monthly reports to management that provides ongoing diagnostics of adherence to contract compliance. Must be forward thinking to add value to operational processes by applying methodologies and tools to develop data-driven analysis and recommendations for creating efficiencies that align with the company’s policies and strategic initiatives.

Essential Duties and Responsibilities include the following. Other duties may be assigned:

· CLM System Administration:

§ Ensure all contracts are funneled through a standardized process of review, entry into the CLM and execution prior to first payment of the vendor.

§ Upload, track and maintain contract documents and all other supporting documents in the CLM in an organized manner, ensuring accuracy in the metadata for accurate tracking and reporting.

§ Create and maintain approval workflow process in adherence to company policies and ensure compliance by all departments.

§ Keep up to date on new releases and features.

· Contract Review and Analysis:

§ Thoroughly review and analyze contracts to identify and understand all relevant terms, conditions, and obligations.

§ Assess compliance with internal policies, procedures, and external regulations.

§ Identify potential compliance risks and develop strategies to mitigate them.

· Contract Monitoring and Reporting:

§ Continuously monitor contract performance to ensure adherence to agreed-upon terms.

§ Ensure Managers are informed in a timely manner of contract expiration and advance notification requirements.

§ Track key performance indicators (KPIs) and identify any deviations from expectations.

§ Prepare regular reports for management summarizing contract performance, upcoming renewal and/or end dates and compliance status.

· Contract Negotiation and Administration:

§ Participate in contract negotiations as needed to ensure alignment with organizational goals and risk tolerance.

§ Manage contract amendments, modifications, and terminations as needed.

§ Maintain accurate and up-to-date contract documentation.

· Compliance Investigations and Resolution:

§ Investigate potential contract breaches or non-compliance issues.

§ Gather evidence and assess the severity of compliance violations.

§ Develop and implement corrective actions to address compliance issues.

· Communication and Training:

§ Communicate effectively with internal stakeholders to ensure understanding of contract requirements and compliance expectations.

§ Provide training and guidance to employees on contract compliance best practices.

§ Develop and maintain compliance policies and procedures.

· Risk Management and Mitigation:

§ Identify and assess potential compliance risks associated with contracts.

§ Develop and implement strategies to mitigate compliance risks.

§ Stay up to date on changes in relevant laws, regulations, and industry standards.

· Continuous Improvement:

§ Evaluate the effectiveness of contract compliance processes and identify areas for improvement.

§ Implement process improvements to enhance efficiency and effectiveness.

§ Stay informed about emerging trends and developments in contract compliance.

· Sound expense control and expense management

· Performs other related duties as assigned.

  • Possess the understanding of legal contracts and contract law.

Education/Experience:BA/BS degree preferred, and three years of relevant experience preferred. Experience in CLM systems and contract management experience required, with project management or leadership responsibilities in the telecommunications or OSS application highly desired.

Language Ability: Requires the ability to discuss technical information with users, discern their needs and develop programs, systems, and screens etc., which meet those needs. Must be able to communicate technical and complex information to non-technical users verbally or written.

Reasoning Ability: Requires the ability to perform a full range of systems analysis and applications programming duties. Must be able to analyze, install and maintain current applications specifications. Requires the ability to analyze data and develop logical solutions.

Technical Skills: Experience in CLM systems. Proficient in Microsoft Office (Outlook, Project, Teams, Visio, Excel, and Word).
